Bain Capital Private Equity acquires Fedrigoni
LONDON, MILAN, December 23, 2017 – Bain Capital Private Equity, a leading global private investment firm, announced that it has signed a definitive agreement to acquire Fedrigoni, a leading global producer of specialty papers and self-adhesive labels. The Fedrigoni family will retain a minority stake in the business.
Established in 1888 and headquartered in Verona, Italy, Fedrigoni is internationally recognised for its high-quality product range and customer service. In 2017, the Company is expected to generate sales of approximately €1.1bn. It has manufacturing facilities in Italy, Spain and Brazil and a global distribution network, with more than 2,700 employees.
Fedrigoni sells directly to its multinational customers including fashion houses and fine wine producers, through its own distribution network. Its products include special papers for luxury packaging and labels for the food and beverage and pharma industries.

The transaction remains subject to approvals by competent regulatory authorities.
Fedrigoni was advised by BNP Paribas, Gianni Origoni Grippo Cappelli & Partners and Canestrari & Crescentini Associati. Bain Capital was advised by Rothschild, Poyry Consulting & Capital, Fisher International, PwC, Latham & Watkins, Kirkland & Ellis and Pirola Pennuto Zei & Associati. BNP Paribas, HSBC, UBI Banca and KKR will be the joint bookrunners on the associated financing.

Bain Capital, une des principales sociétés d’investissement privées mondiales, a fait l’acquisition en décembre dernier du papetier Fedrigoni, l’entreprise italienne spécialisée dans la production de papiers spéciaux et de création pour l’impression, l’édition, les étiquettes, la reliure, les emballages et le cartonnage. Cette transaction s’élève à 650 millions d’euros, et la famille italienne conservera une participation minoritaire de 10% dans l’entreprise.
« En 130 ans d’histoire, la famille Fedrigoni a pleinement soutenu la croissance et le développement de son entreprise éponyme, en atteignant une position de leader en Europe sur les papiers spéciaux et les étiquettes. Capitalisant également sur nos récentes acquisitions aux États-Unis et au Brésil, Fedrigoni est un acteur international, ce qui nécessite des ressources supplémentaires pour soutenir ses ambitions mondiales », a déclaré son président, Alessandro Fedrigoni.
De son côté, Ivano Sessa, directeur général de Bain Capital, a estimé que « Fedrigoni a le potentiel de croître significativement, à la fois organiquement et par le biais d’acquisitions, et nous avons hâte […] d’accélérer ce processus, comme nous l’avons fait dans de nombreuses autres industries ».
Bain Capital a notamment récemment acquis European finTyre Distribution, entreprise leader de la distribution de pneus en Italie, et se félicite de bâtir « son industrie et sa franchise italienne ».
Pour 2017, Fedrigoni, qui compte 2720 employés, prévoit un chiffre d’affaires d’environ 1,1 milliard d’euros. Elle possède 13 sites de production, dont neuf en Italie, deux en Espagne et deux au Brésil.
